What does a dormant company still have to file?
Two things every year: a confirmation statement and dormant company accounts (form AA02) — both simple, both compulsory. Miss them and Companies House penalties and strike-off warnings arrive just as they would for a trading company. Our first-year bundle covers both.
What would accidentally 'wake up' my dormant company?
Almost any transaction through the company — trading, paying wages, even earning bank interest. Only Companies House fees and the initial share payments are ignored. That's why we suggest not opening a company bank account until you're ready to trade.
How long can it stay dormant?
Indefinitely — there's no time limit, as long as the two annual filings keep going in. Plenty of companies sit dormant for years purely to protect a name.
