What is a company limited by guarantee?

A company with guarantors instead of shareholders. Nobody owns shares and nobody takes dividends — members simply guarantee a nominal sum (usually £1) if the company is wound up. It's the standard structure for charities, clubs and community organisations because it gives limited liability without private ownership.

Can a limited by guarantee company make a profit?

Yes — it can trade and make a surplus. The difference is what happens to that surplus: it's reinvested in the organisation's purpose rather than paid out to owners. If you want to distribute profits, a company limited by shares is the right structure instead.

Is forming a CLG the same as registering a charity?

No — they're two separate steps. The guarantee company is the legal vehicle; charity registration with the Charity Commission (if your income and purposes qualify) comes afterwards. We form the company with charity-compatible articles so that second step isn't blocked by the paperwork from the first.
